Black Friday Terms and Conditions 2024
1.0 Simba Black Friday 2024 Promotion Terms and Conditions
1.1 This Promotion (Simba Black Friday Sale Promotion) is subject to these Black Friday Sale Terms and Conditions (BF Sale Terms), promoted by Simba Sleep Limited, UK company 9703422 (Simba), and these BF Sale Terms are subject to the overarching terms and definitions set out in of Simba's general Terms document set out at www.simbasleep.com/pages/terms/ (Simba General Terms), including, but not limited to, the application of Collective Discounts where applicable.
1.2 To the extent that the definition and the application of a Third Party Offer in these BF Sale Terms conflict with the Simba General Terms in respect of combining promotional savings or discounts only, these BF Sale Terms prevail.
1.2.1 To the extent that a Joint Promoter Terms Document conflicts with these BF Sale Terms in respect of a discount or savings level offered pursuant to a Collective Discount only, the discount or savings level in the Joint Promoter Terms Document prevails. This is distinct from any conflict in respect of the Products or Bundles to which a Collective Discount may be applied.
1.3 In these BF Sale Terms, the following defined terms are used.
1.3.1 All capitalised terms defined in the Simba General Terms appearing in these BF Sale Terms have the meanings as defined therein.
1.3.2 Promotional Window – means the limited time between 00:01 GMT on 22/11/2024, to 23:59 GMT on 02/12/2024 only.
1.3.3 Promotional Price, and Promotional Pricing – means the price, and the offer pricing, respectively, for Products offered on the Website during the Promotional Window subject to this Simba Black Friday Sale Promotion.
1.3.4 Typical Price, and Typical Pricing – means the typical price, and the typical pricing respectively, for Products of various lines and models offered on the Website during the Typical Pricing Window.
1.3.5 Typical Pricing Window – means a period prior to the Promotional Window during which Typical Pricing was offered on the Website, commencing on 01/11/2024 and concluding on 21/11/2024.
1.3.6 Joint Promoter – means entities trading as GoCertify, Blue Light Card, Jointnetwork, Myvouchercodes NHS, Vouchercodes NHS, Student Beans, UNIDAYS, Totum, Save the Students, and Defence Discount Service, each of which offer a Third Party Offer which is available to Consumer Group members eligible for Collective Discounts under the Simba General Terms.
1.3.6.1 Joint Promoter Terms Document – means the document setting out specific additional terms pursuant to which a Joint Promoter and Simba may offer to members of a Consumer Group an Extra Offer, as displayed on the Joint Promoter’s website, or via “widget” or other integrations linked out from our Website as applicable.
1.3.7 Extra Offer – means various promotional offers which may be available to You, as set out in a Joint Promoter Terms Document, if You are a member of a Consumer Group eligible for a Collective Discount under the Simba General Terms through one of the Joint Promoters listed in these BF Sale Terms subject and pursuant to the relevant promotional offer terms which the respective Joint Promoters advance via their websites or “widget” or other integrations on our Website as applicable, which specifically reference a Third Party Offer Exemption which must be included in our Website’s operating promotional terms and conditions (these BF Sale Terms being such promotional terms and conditions and meeting that definition) as distinct from being mentioned in the Simba General Terms.
1.3.8 Selected Mattresses – Essential, Comfort (also known as Hybrid Original), Pro, Luxe, Ultra, Source, Escape (other than in size Single), Apex line mattress Products, other than refurbished mattresses from those lines, are Selected Mattresses.
1.3.8.1 For the avoidance of ambiguity, Cot Bed Mattress Products and Kids Mattress Products are excluded from the definition of a Selected Mattress.
1.3.9 Selected Beds – Camden, Wilmslow, Ludlow, Didsbury (other than in size Single), Hebden, Hoxton (other than in size Single), Portobello (other than in size Double), Melrose (other than in size Single), Kelham (other than in sizes Single and Super King), St Ives (other than in size Single), Sherwood, Ashdown, and Combe (other than in size Double) line bed Products, other than refurbished Products from those lines, are Selected Beds.
1.3.10 Bundle – means a pre-configured or user selected group of 2 or more Products offered on the Website which, when those Products are bought by You concurrently via the Website, as part of a Bundle, and are offered at a combined price.
1.3.11 Bundle Discount - means a price reduction applicable to the combined price of Products sold as new, which is discounted on a combined basis compared with the Typical Pricing Window prices when purchased in such a Bundle, defined and subject to these BF Sale Terms, including as set out in these BF Sale Terms term 3.3’s various subterms.
1.3.12 Selected Duvets – Hybrid® Duvet Products, Hybrid® 3-in-1 Duvet Products, and Summer Hybrid® Duvet Products, other than refurbished Products from those lines, are Selected Duvets.
1.3.13 Selected Pillows – Hybrid® Pillow, Hybrid® Firm Pillow, Body Pillow other than refurbished Products from those lines, are Selected Pillows.
1.3.14 Example Discount or Saving - an example of a cash or percentage discount or saving in respect of a given Example Product, or Example Bundle, or a broader Savings Claim defined in this term 1.3.14’s subterms, which is referred to in assets displayed on or off the Website proximate to a symbol.
1.3.14.1 Example Product – a particular defined Product configuration in respect of which an Example Discount or Saving applies and which is explained in respect of each Example Product at term 2.5 and the subterms thereof which explain the relevant symbols.
1.3.14.2 Example Bundle – a particular defined Bundle configuration in respect of which an Example Discount or Saving applies and which is explained in respect of each Example Bundle at term 2.6 and the subterms thereof which explain the relevant symbols.
1.3.14.3 Savings Claim – a claim made on the basis which is explained in term 2.7 and the subterms thereof which explain the relevant symbols, which is calculated based on Savings Claim Examples as therein defined and explained.
1.4 To ensure wide ranging availability of our Products to as many consumers as possible during the course of the Simba Black Friday Sale Promotion, and without limiting our other options under the Simba General Terms, where what Simba regards to be excessive quantities of Products of not dissimilar specification are ordered in one order, or across multiple orders using contact, payment, and/or delivery information in common across those multiple orders, then without notice, Simba may refuse any such order or orders, or Simba may decline to fulfill such order or orders.
2.0 What promotional discounts are available during Promotional Window and how are these displayed on the Website and elsewhere?
2.1 During the Simba Black Friday Sale Promotion, various reductions to the price of certain Products comparing the Promotional Price of those products with the Typical Price of those Products will apply, as set out in term 3 below.
2.2 The Promotional Prices will be displayed on the Website during the Promotional Window.
2.2.1 In conjunction with the Promotional Pricing or otherwise, Typical Pricing for Products of not dissimilar specification may also be displayed, whether on a strike through basis or otherwise, on the Website during the Promotional Window for comparison purposes.
2.3 The Promotional Prices apply when You purchase individual Products offered on the Website subject to certain terms and conditions.
2.4 The “up to” saving or discount advertised for a Product or a group of Products whether in a Bundle or not, on an asset appearing on or off the Website, may be lower than the absolute maximum saving or discount available for certain Products within a relevant line, range, or model during the Simba Black Friday Sale Promotion.
2.5 Particular examples of discounts and savings applicable under term 3’s sub terms for a specific configuration of a particular Example Product may be referred to on the Website and/or in assets which refer to the Website externally marked with a particular symbol, which displays the associated Example Discount or Saving, with specific details particularised under this term 2.5’s subterms.
2.5.1 A saving or discount of £749 proximate to the symbol “†” refers to the Simba Ultra model mattress Product in size King bought on an individual basis. This Example Product is offered on the Website during the Promotional Window on an individual basis at a Promotional Price of £2,249.25. The Promotional Price of this Example Product offering equates to a saving of £749.75, comprising this Example Product’s Example Discount or Saving, and that saving is based on a comparison of the Promotional Price with the Typical Price of £2999.00 in respect of this Example Product offered on the Website and sold to consumers on the basis described during the Typical Pricing Window.
2.5.2 A saving or discount of £503 proximate to the symbols “††” refers to the Simba Luxe model mattress Product in size King bought on an individual basis. This Example Product is offered on the Website during the Promotional Window on an individual basis at a Promotional Price of £1,295.28. The Promotional Price of this Example Product offering equates to a saving of £503.72, comprising this Example Product’s Example Discount or Saving, and that saving is based on a comparison of the Promotional Price with the Typical Price of £1799.00 in respect of this Example Product offered on the Website and sold to consumers on the basis described during the Typical Pricing Window.
2.6 Particular examples of discounts and savings applicable under term 3’s sub terms for a specific configuration of a particular Example Bundle may be referred to on the Website and/or in assets which refer to the Website externally marked with a particular symbol, which displays the associated Example Discount or Saving, with specific details particularised under this term 2.6’s subterms.
2.6.1 A saving or discount of £1072 proximate to the symbol “§” refers to a Bundle comprising a King size Ultra mattress, two Hybrid® Pillows, Hybrid® 3-in-1 Duvet, size King, and Camden bed with chrome legs, using an Ottoman storage (non-electric) base in Urban Grey colour and fabric configuration. This Example Bundle is offered on the Website during the Promotional Window at a Promotional Price of £3642.68. The Promotional Price of this Example Bundle offering equates to a saving of £1072.32 comprising this Example Bundle’s Example Discount or Saving, and that saving is based on a comparison of the combined price of not dissimilar Products comprising the Example Bundle offered during the Typical Pricing Window being £4715.00 in aggregate bought on an individual basis offered on the Website and sold to consumers on the basis described (specifically, not in a Bundle) during the Typical Pricing Window.
2.7 Particular examples of discounts and savings applicable to a Savings Claim may be referred to on the Website and/or in assets which refer to the Website externally marked with a particular symbol, which displays the associated Example Discount or Saving, with specific details particularised under this term 2.7’s subterms.
2.7.1 A saving or discount of “up to 25%” proximate to the symbol “‡” refers to an “up to” savings or discount claim in the context of all mattress Product sizes comprising the Selected Mattresses. This saving is based on a comparison of particular Selected Mattresses, specifically the Hybrid Original - EU Single, Hybrid Original - Single, Hybrid Original - Small Double, Hybrid Original - Double, Hybrid Pro - Single, Hybrid Pro - SuperKing, Hybrid Pro - EU Double, Hybrid Pro - EU Queen, Hybrid Pro - King, Hybrid Luxe - Small Double, Hybrid Luxe - Double, Hybrid Luxe - King, Hybrid Luxe - EU Queen, Hybrid Luxe - SuperKing, Hybrid Ultra - Single, Hybrid Ultra - Double, Hybrid Ultra - SuperKing, Earth Source - Single, Earth Source - Double, Earth Source - King, Earth Source - SuperKing, Earth Escape - Double, Earth Escape - King, Earth Escape - SuperKing, Earth Apex - Single, Earth Apex - Double, Earth Apex - King, and Earth Apex - SuperKing, being Products comprising the “Savings Claim Examples”. This comparison is made between the Promotional Price of these Savings Claim Examples and the Typical Price of those Savings Claim Examples and Selected Mattresses more generally, specifically in respect of the “up to 25% Savings Claim”. The comparison is against the prices at which the Selected Premium Mattresses were offered individually (not in a Bundle) on the Website and sold to consumers during the Typical Pricing Window with the Promotional Pricing during the Promotional Window.
2.7.2 A saving or discount of 20% mentioned proximate to the symbol “¶” in respect of a Selected Pillow refers to the discounts and savings further elaborated in term 3.5
2.7.3 A saving or discount of 15% mentioned proximate to the symbol “¶” in respect of a Selected Bed refers to the discounts and savings further elaborated in term 3.2
3.0 How are savings, discounts, and comparisons displayed on the Website during the Simba Black Friday Sale Promotion calculated?
3.1 Discounts and savings for Selected Mattresses on the Website explained: The discounts and savings described for Selected Mattresses on the Website during the Promotional Window are based on comparison with the prices of individual new Selected Mattresses of not dissimilar specification offered on the Website, being the price at which those Products of not dissimilar specification were sold to consumers on the basis described during the Typical Pricing Window, compared with the Promotional Pricing.
3.1.1 The discounts and savings described in term 3.1 for Selected Mattresses vary by model and size and vary from a minimum 20% saving or discount compared in respect of a Selected Mattress of a not dissimilar specification with the Typical Pricing Window, to a maximum 28% saving or discount compared in respect of a Selected Mattress of a not dissimilar specification with the Typical Pricing Window.
3.2 Discounts and savings for Selected Beds on the Website explained: The discounts and savings described for Selected Beds on the Website during the Promotional Window are based on a comparison with the prices of individual new Selected Beds of not dissimilar specification offered on the Website, being the price at which those Products of not dissimilar specification were sold to consumers on the basis described during the Typical Pricing Window, compared with the Promotional Pricing.
3.2.1 The discounts and savings described in term 3.2 for Selected Beds are a 15% saving or discount compared in respect of a Selected Bed of a not dissimilar specification with the Typical Pricing Window.
3.3 Discounts and savings for Products sold at a combined price in a Bundle of selected new Products offered on the Website explained: The discounts and savings described in respect of a group of Products constituting a Bundle of new Products on the Website during the Promotional Window is based on a comparison of the combined price of the Bundle offered during the Promotional Window, compared with the prices at which the new, individual constituent Products of not dissimilar specification comprising the said Bundle were offered on an individual basis, on the Website during the Typical Pricing Window, being the price at which those individual Products of not dissimilar specification were sold to consumers on the basis described during the Typical Pricing Window comparing the given Products with the Typical Pricing Window’s Typical Pricing. These constitute a Bundle Discount.
3.3.1 The discounts and savings applicable to a given Bundle under term 3.3 constituting a Bundle Discount necessarily depend on the constituent Products within a Bundle, and savings and discounts available across the many potential configurations of Bundles available will vary widely accordingly. 3.3.2 The discounts and savings applicable to Products within a given Bundle under term 3.3 constituting a Bundle Discount may be explained in different ways in respect of different Bundles. 3.4 Discounts and savings for Selected Duvets on the Website explained: The discounts and savings described for Selected Duvets on the Website during the Promotional Window are based on a comparison with the prices of individual new Selected Duvets of not dissimilar specification offered on the Website, being the price at which those Products of not dissimilar specification were sold to consumers on the basis described during the Typical Pricing Window, compared with the Promotional Pricing.
3.4.1 The discounts and savings described in term 3.4 for Selected Duvets are a 20% saving or discount compared in respect of a Selected Duvet of a not dissimilar specification with the Typical Pricing Window.
3.5 Discounts and savings for Selected Pillows on the Website explained: The discounts and savings described for Selected Pillows on the Website during the Promotional Window are based on a comparison with the prices of individual new Selected Pillows of not dissimilar specification offered on the Website, being the price at which those Products of not dissimilar specification were sold to consumers on the basis described during the Typical Pricing Window, compared with the Promotional Pricing.
3.5.1 The discounts and savings described in term 3.5 for Selected Pillows are a 20% saving or discount compared in respect of a Selected Pillow of a not dissimilar specification with the Typical Pricing Window.
3.6 While we have exerted our best endeavours to make all information about Products available for use in and benefiting from the associated savings or discount applicable, not all Products on the Website may be available for use as or offered for sale as constituent Products in a Bundle. What are the conditions and exclusions applicable to the Simba Black Friday Sale Promotion?
4.1 Other than an Extra Offer, any other promotion, discount, or offer cannot be combined with the Simba Black Friday Sale Promotion unless expressly permitted by this term 4.1’s subterms.
4.1.1 These BF Sale Terms allow an Extra Offer as defined in these BF Sale Terms to be used during the Simba Black Friday Sale Promotion subject to the specific terms and any other exclusions or limitations applicable to an Extra Offer offered by a Joint Promoter listed in these BF Sale Terms.
4.1.2 The maximum discount or saving against Typical Pricing any Extra Offer may result in will amount to a total discount which varies depending on the on-site discount set out in this term 4.1.2’s subterms, and the redemption of this discount additionally depends on the specific terms set out in the relevant Simba and Joint Promoter’s separate promotional terms document, as well as the Simba General Terms.
4.1.2.1 An Extra Offer of 1% off the Typical Pricing Window is available when the price of an individual Product above the Simba Black Friday Sale Promotion discounts, unless the relevant Joint Promoter Terms Document applicable indicates otherwise.
4.1.2.1.1 By way of worked example under term 4.1.2.1, a Product offered to the general public at a 20% savings or discount has a separate and superseding 21% saving or discount applied in respect of an Extra Offer, unless the relevant Joint Promoter Terms Document applicable indicates otherwise.
4.1.3 For the avoidance of doubt, any Bundle as defined in these BF Sale Terms term 1.3.10 may not be combined with an Extra Offer.
4.1.4 Any Extra Offer entirely supersedes the offers more generally offered to the general public under the Simba Black Friday Sale Promotion for members of Consumer Groups who redeem Collective Discounts.
4.2 Any discount or promotional offer within these BF Sale Terms is not redeemable for cash, credit or any other alternative.
4.3 The Simba Black Friday Sale Promotion is offered only in respect of purchases of Products made available for purchase by consumers via the Simba Website, and for delivery to an address in the UK only, and where available pursuant to the Simba General Terms.
5.0 In what situations may Simba adjust or end the Simba Black Friday Sale Promotion?
5.1 The Simba Black Friday Sale Promotion and concurrent Extra Offers advanced as Collective Discounts to Consumer Groups are offered at Simba’s discretion and may be adjusted or withdrawn at any time, contingent on Simba's compliance with legal and other obligations.
5.1.1 Simba reserves the right to take any action deemed appropriate with respect to the Simba Black Friday Sale Promotion or Collective Discounts.
5.1.2 By way of non-exhaustive examples, Simba reserves the right to:
5.1.2.1 Cancel, adjust, amend, or withdraw the Simba Black Friday Sale Promotion or any Collective Discounts in whole or in part without prior notice.
5.1.2.2 Remove from availability any specific Product, Bundle, or any offer, discount, or savings in respect of any Product or any Bundle, promoted during the Simba Black Friday Sale Promotion, without prior notice.
5.1.2.3 Adjust pricing on any Bundle where a component Product in that Bundle may no longer be offered at a discount during the Promotional Window, in which circumstances, the price of a Bundle containing that component Product will be increased by the difference between the individual Product’s ceased Promotional Pricing and that individual Product’s Typical Pricing Window Pricing.
5.1.2.4 Correct or clarify typographical or drafting errors in these BF Sale Terms. In such cases, Simba will append a notation to these BF Sale Terms, specifying the date of the correction or clarification.
5.2 Simba may take any action under Section 5.1 and its subterms in the following circumstances:
5.2.1 When acting not otherwise than in accordance with its legitimate business interests.
5.2.2 If Simba is, or suspects it may be, unable to administer the Simba Black Friday Sale Promotion or Collective Discounts in accordance with these BF Sale Terms, the Simba General Terms, or any Joint Promoter Terms Document.
5.2.3 When required to do so by law or regulatory compliance obligations.
5.3 In any instance where Simba exercises its rights under Sections 5.1 or 5.2 resulting in your inability to access any offer in the Simba Black Friday Sale Promotion, Simba will have no liability to you.
Important information about Joint Promoters and Extra Offers.
6.1 Joint Promoters may advance certain Extra Offers to You via various channels, subject to Joint Promoter Terms Documents, which interact with, and must be interpreted in conjunction with, these BF Sale Terms and the Simba General Terms.
6.2 As not all users of the Website are members of Consumer Groups, specific comparisons of pricing for savings and discounts, or savings and discounts more generally applicable during the Promotional Window which may be available to Consumer Group members during the Promotional Window may not be displayed on the Website. You must note this when seeking to use any Extra Offer.
6.3 If You have an eligibility query about an Extra Offer based on a Consumer Group matter, You must contact the relevant Joint Promoter in the first instance.
